1. Business customers only

Noreviaq's subscriptions are intended for customers purchasing the service for business purposes. By purchasing a subscription, you confirm that you are acting in the course of a business and not primarily as a consumer. Nothing in these Terms excludes or limits any right or responsibility that cannot lawfully be excluded.

2. The service

Noreviaq provides AI-assisted marketing and business-automation services. Depending on the plan purchased, these may include social-media content, Google Business content, review-response drafts, promotional content, customer or lead communication material, marketing workflows, business automation, reporting and related support.

The features included in your subscription are those presented with the plan at the time of purchase. We may improve or update how features are delivered. We will not intentionally make a material reduction to a paid service during the current billing period without a reasonable basis.

3. No guaranteed commercial results

Noreviaq does not guarantee any particular number of sales, leads, enquiries, reviews, search-engine rankings, social-media reach, revenue or other commercial result. Marketing performance depends on many factors outside Noreviaq's control.

4. AI-assisted output and factual accuracy

AI-assisted systems can occasionally make mistakes. Noreviaq uses reasonable safeguards and quality controls, but customers must provide accurate business information and promptly correct information they know is wrong.

Noreviaq will not knowingly invent a customer's prices, qualifications, certifications, services, promotions, guarantees or other factual claims. Where an approval workflow applies, you are responsible for reviewing the relevant material before approval.

5. Your responsibilities

You agree to:

If you activate an automated workflow, you authorise Noreviaq to perform the agreed actions within the scope of the settings, instructions and permissions you provide.

6. Subscriptions and payment

Unless the checkout expressly states otherwise, plans are monthly rolling subscriptions. The subscription renews automatically each month until cancelled. The applicable price is the price shown at checkout.

Payments and subscription billing are processed through Stripe. Failed payments may be retried and service may be suspended where an amount remains unpaid.

Noreviaq is not currently VAT registered and does not currently add VAT to subscription charges. If our tax status changes, applicable taxes may be charged as required by law and we will give notice where required.

7. Price changes

We may change future subscription prices by giving reasonable advance notice, normally at least 30 days. A price change will apply to a future renewal, not retrospectively to a billing period already paid. You may cancel before the new price takes effect.

8. Cancellation

You may cancel a monthly subscription at any time before the next renewal. Cancellation prevents future renewals and service will normally continue until the end of the already-paid billing period. See our Subscription & Cancellation Policy for the current process.

9. Refunds

Because service resources and work may begin once a billing period starts, monthly business subscription fees are normally non-refundable after that period has started. This does not affect any refund or remedy that must be provided by law. We may also refund duplicate or incorrect charges, or issue another refund where we consider it appropriate.

10. Intellectual property

You retain ownership of pre-existing materials you provide to Noreviaq. Noreviaq retains ownership of its pre-existing tools, systems, templates, processes, software and know-how.

Subject to full payment, Noreviaq grants you a worldwide, perpetual, non-exclusive and royalty-free licence to use deliverables created specifically for your business for your normal business and marketing purposes, to the extent Noreviaq has rights to grant that licence.

AI-generated material may not always qualify for intellectual-property protection, and similar material may be produced independently for other people or businesses. Deliverables are not exclusive unless we expressly agree otherwise in writing.

11. Confidentiality

Each party will take reasonable care to protect genuinely confidential, non-public business information received from the other and will not disclose it except where reasonably needed to provide the service, with permission, or where disclosure is required by law.

12. Data protection

Our handling of personal information is described in our Privacy Policy. Where Noreviaq processes personal information solely on a customer's documented instructions, additional data-processing terms may apply and will be put in place where required.

13. Availability and service changes

We use reasonable efforts to keep Noreviaq available and functioning, but we do not promise uninterrupted or 100% uptime. Temporary interruptions may occur because of maintenance, security work, third-party suppliers, internet failures or circumstances outside our reasonable control.

14. Third-party services

Noreviaq may rely on third-party services such as payment providers, hosting providers, AI providers, Google services, social platforms and APIs. Those providers may change their features, policies or availability. Noreviaq is not responsible for a third-party outage, account restriction or policy change that is outside our reasonable control, although we will take reasonable steps to minimise disruption where practical.

15. Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to the paragraph above and to any applicable legal test of reasonableness, Noreviaq will not be liable for indirect or consequential loss, or for loss of anticipated profits, revenue, business opportunities or goodwill that was not a direct and reasonably foreseeable result of our breach.

Subject to applicable law and reasonableness requirements, Noreviaq's aggregate liability arising from or in connection with the affected service will not exceed the subscription fees actually paid by the affected customer to Noreviaq during the 12 months immediately before the event giving rise to the claim.

16. Suspension and termination

We may suspend or terminate service for non-payment, material breach of these Terms, unlawful misuse, a material security risk or abusive use of the service. Where reasonably possible, we will give notice and an opportunity to correct a remediable breach before termination.

17. Changes to these Terms

We may update these Terms to reflect changes in the service, law or our business. Material changes affecting an existing paid subscription will be communicated with reasonable notice where appropriate. The latest version will be published on this page.

18. Governing law

These Terms and any non-contractual obligations arising from them are governed by the law of England and Wales. The courts of England and Wales will have jurisdiction, subject to any mandatory rights or rules that apply and cannot lawfully be changed by contract.
